01 / ACCEPTANCE

Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and NSIGNIS LTD., a corporation organized under the laws of the Bulgaria ("NSIGNIS," "we," "our," or "us"), governing your access to and use of the NSIGNIS website(s) located at nsignis.com and any related subdomains, applications, products, and services (collectively, the "Services").

These Terms apply to all visitors, authorized users, contractors, government personnel, and others who access or use the Services. By accessing the Services, you represent that you have the legal authority to enter into this agreement on behalf of yourself or the organization you represent.

For users accessing the Services under a specific Government contract and/or developmewnt task order, the applicable contract terms, executed Memorandum of Agreement (MOA) and/or Data Use Agreement (DUA) supplement and, where in conflict, supersede these Terms with respect to that contractual engagement.

02 / DEFINITIONS

Definitions

As used in these Terms, the following definitions apply:

"Services" The NSIGNIS website(s), software platforms, APIs, documentation, and any other products or services provided by NSIGNIS LTD
"User Data" Any data, content, or information submitted by you to the Services
"Authorized User" An individual granted access to the Services under a valid license agreement or government contract
"CUI" Controlled Unclassified Information as defined under the CUI Registry
"Intellectual Property" All patents, copyrights, trademarks, trade secrets, algorithms, model weights, and proprietary data owned or licensed by NSIGNIS LTD
"Output" Any result, report, inference, alert, or recommendation generated by the Services in response to User Data or system inputs

03 / ELIGIBILITY

Eligibility & Access

Access to and use of NSIGNIS's Services is restricted. By using the Services, you represent and warrant that:

  • You are at least 18 years of age
  • You are authorized by your organization or contracting authority to access the Services
  • You hold any security clearance or access authorization required for the specific Services or data you are accessing
  • Your use of the our Services does not violate any applicable law, regulation, or contractual obligation
  • You are not on any Government restricted-party list, including the Denied Persons List, Entity List, or SDN List

NSIGNIS LTD reserves the right to verify eligibility at any time and to deny or revoke access to any individual or organization that does not meet these requirements.

04 / SERVICES

Services & Products

NSIGNIS LTD provides AI-powered defense and/or security intelligence systems, including but not limited to the ORAITHA.AI. Access to specific products is governed by separate license agreements, contract vehicles, and security authorization requirements.

Website Use

The public-facing website at nsignis.com provides general information about NSIGNIS's capabilities, products, and organization. No classified, sensitive, or export-controlled technical data is provided through the public website.

Service Availability

NSIGNIS LTD does not guarantee uninterrupted or error-free operation of the Services. We may suspend, modify, or discontinue any aspect of the Services at any time with or without notice, subject to the obligations set forth in any applicable government contract.

Operational defense systems (ORAITHA.AI) are governed exclusively by the applicable contract, task order, and other system authorizations. These Terms do not create any license to access operational systems.

05 / ACCOUNTS

Accounts & Security

If you are granted an account to access restricted portions of the our Services, you agree to:

  • Maintain the confidentiality of your credentials and not share them with any third party
  • Use multi-factor authentication where required by system policy or your organization's security requirements
  • Notify NSIGNIS immediately at [email protected] of any unauthorized access or suspected compromise of your account
  • Comply with all applicable password management and session security policies
  • Accept responsibility for all activity conducted under your credentials

NSIGNIS LTD reserves the right to terminate or suspend any account at any time in response to a security incident, clearance revocation, contract termination, or policy violation.

06 / INTELLECTUAL PROPERTY

Intellectual Property (IP)

All content, software, AI models, algorithms, interfaces, trademarks, and other intellectual property available through our Services are the exclusive property of NSIGNIS LTD and/or its subsidiaries and/or its licensors, and are protected by EU/US and international intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in NSIGNIS's intellectual property(IP) except the limited right to use our Services as expressly permitted herein or under a separate written agreement.

Government License Rights

Technical data and computer software delivered under Government contracts are subject to the rights specified in the applicable Acquisition Regulation Supplements. NSIGNIS LTD asserts and retains all proprietary rights in independently developed IP not funded by the Government.

User Data

You retain ownership of User Data you submit to the Services. By submitting User Data, you grant NSIGNIS LTD a limited, non-exclusive license to process such data solely for the purpose of providing the Services. NSIGNIS LTD will not use User Data to train, fine-tune, or improve its AI models without your explicit written consent.

07 / PROHIBITED USE

Prohibited Use

You agree not to use our website(s) and/or our Services to:

  • Violate any applicable law, regulation, executive order, or treaty obligation
  • Attempt to gain unauthorized access to any system, network, or data
  • Reverse engineer, decompile, disassemble, or attempt to derive source code or model weights from any NSIGNIS software or AI system and/or platform
  • Reproduce, distribute, or publicly display any portion of the Services without express written permission
  • Transmit malicious code, exploits, or any content designed to interfere with the operation of the Services
  • Use our Services to develop competing products and/or to benchmark NSIGNIS's systems, website(s) without authorization
  • Submit classified national security information through non-accredited channels
  • Impersonate any person, organization, or government authority
  • Use automated scraping, crawling, or data extraction tools against our Services

Unauthorized access to or misuse of NSIGNIS's defense systems may constitute a federal crime under Computer Fraud and Abuse Act, and other applicable statutes. NSIGNIS LTD cooperates fully with law enforcement and national security offices.

08 / EXPORT CONTROLS

Export Controls & Sanctions

NSIGNIS's products, technologies, and technical data may be subject to export control laws and regulations.

You agree that you will not:

  • Export, re-export, or transfer any NSIGNIS's technology, software, or technical data to any country, entity, or individual without obtaining required Government authorizations
  • Access the Services from any jurisdiction subjected to comprehensive sanctions
  • Provide access to or use of our Services to any foreign person without first confirming compliance with applicable export control requirements
  • Use the Services in connection with the development of weapons of mass destruction or in support of prohibited activity

By using our Services, you certify that you are not a restricted or denied party under any applicable Government list and that your use complies with all export control obligations.

09 / DISCLAIMERS

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

NSIGNIS LTD does not warrant that: (a) the Services will be uninterrupted, timely, secure, or error-free; (b) any Output will be accurate, complete, reliable, or suitable for any particular purpose; (c) any defects in the Services will be corrected.

NSIGNIS's AI-Based outputs are intended to augment human decision-making, not replace it. In no event should any output be used as the sole basis for decisions that may affect human life, national security operations, or the use of force. Human review and authorization are required for all mission-critical decisions.

10 / LIABILITY

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NSIGNIS LTD, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES.

NSIGNIS's total aggregate liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid to NSIGNIS in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if NSIGNIS LTD has been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

11 / INDEMNIFICATION

Indemnification

You agree to defend, indemnify, and hold harmless NSIGNIS LTD and its officers, directors, employees, agents, licensors, and contractors from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or any applicable law or regulation
  • Your use of the Services in a manner not authorized by NSIGNIS LTD
  • User Data you submit to the Services
  • Any breach of your representations or warranties under these Terms
  • Your violation of any export control law, sanction, or security obligation

12 / DISPUTES

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Bulgaria, without regard to its conflict of law provisions.

Informal Resolution

Before initiating any formal legal proceeding, you agree to contact NSIGNIS LTD at [email protected] and provide a written description of your claim.
NSIGNIS LTD will make reasonable efforts to resolve the dispute informally within 30 days.

Binding Arbitration

If the dispute cannot be resolved informally, both parties agree to binding arbitration administered, with proceedings conducted in Sofia, Bulgaria. The arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.

Government Contract Disputes

Disputes arising under Government contracts are subject to the Contract Disputes Act and the applicable disputes clause in the contract. Nothing herein waives any rights or remedies available under the law.

13 / TERMINATION

Termination

NSIGNIS LTD may, at its sole discretion, suspend or terminate your access to the Services at any time, with or without cause or notice, including for:

  • Violation of these Terms or any applicable security policy
  • Loss or revocation of required security clearance or access authorization
  • Termination of the underlying government contract or license agreement
  • Conduct that NSIGNIS LTD determines poses a risk to security, operations, or other users

Upon termination, your right to access the Services immediately ceases. Sections covering intellectual property(IP), disclaimers, limitation of liability, indemnification, and dispute resolution survive termination of these Terms.

14 / UPDATES

Changes to Terms

NSIGNIS LTD reserves the right to modify these Terms at any time. When material changes are made, we will update the "Last Updated" date and, where practicable, notify registered users by email or through the Services. Your continued use of the Services following the effective date of any modification constitutes your acceptance of the updated Terms.

We encourage you to review these Terms periodically. The most current version will always be available at nsignis.com/terms.html.

15 / GENERAL

General Provisions

  • Entire Agreement: These Terms, together with any applicable contract, license agreement, and our Privacy Policy, constitute the entire agreement between you and NSIGNIS regarding the Services
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect
  • Waiver: NSIGNIS's failure to enforce any right or provision does not constitute a waiver of that right or provision
  • Assignment: You may not assign these Terms and/or any rights hereunder without NSIGNIS's prior written consent. NSIGNIS LTD may assign these Terms in connection with a merger, acquisition, or sale of assets
  • Force Majeure: NSIGNIS LTD shall not be liable for any delay or failure resulting from causes beyond its reasonable control, including acts of God, war, cyberattacks, government action, or natural disasters
  • No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights except as expressly stated herein
  • Headings: Section headings are for convenience only and do not affect the interpretation of these Terms
