Terms Introduction

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and NSIGNIS LTD., and/or NSIGNIS STUDIO a corporation organized under the laws of the Bulgaria ("NSIGNIS LTD" "NSIGNIS STUDIO" we," "our," or "us"), governing your access to and use of the NSIGNIS website(s) located at nsignis.com and/or studio.nsignis.com and any related subdomains, applications, products, and services (collectively, the "Services").

These Terms apply to all visitors, authorized users, contractors, government personnel, and others who access or use the Services. By accessing the Services, you represent that you have the legal authority to enter into this agreement on behalf of yourself or the organization you represent.

NSIGNIS STUDIO is a content platform service built and managed by NSIGNIS LTD.

Acceptance of Terms

These Terms are a binding contract between you and the Platform. By using the Platform, you represent that you have the legal capacity to enter into this Agreement.

Amendments

• The Platform reserves the right to modify or update these Terms at any time.
• Notification: Users will be notified of material changes via Platform announcement at least 30 days before the effective date.
• Continued Use: Continued use of the Platform after changes constitute acceptance of the updated Terms.

NSIGNIS LTD reserves the right to verify eligibility at any time and to deny or revoke access to any individual or organization that does not meet these requirements.

Language

• These Terms are provided in English. In the event of a conflict between the English version and any translation, the English version prevails.

Eligibility & Registration

Eligibility

To use the Platform, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction).
• Be a representative of a government organization, defense contractor, research institution, or industry expert(where applicable).
• Have the legal authority to bind your organization (if applicable) to these Terms.

Registration

• Users may register for an account to access and manage certain features.
• You agree to provide accurate, current, and complete information during registration and to update it as necessary.
• Verification: The Platform may require additional verification (e.g., government-issued ID, organizational credentials) for access to sensitive or restricted Content.

Security

• You are responsible for maintaining the confidentiality of your account credentials.
• You must notify the Platform immediately of any unauthorized use of your account.
• The Platform is not liable for any loss or damage arising from your failure to secure your account.

Suspension or Termination

• The Platform reserves the right to suspend or terminate your account at any time for:
  1. Violations of these Terms, the Copyright Policy, or applicable laws.
  2. Inactivity (e.g., no logins for 12+ months).
  3. Security concerns (e.g., suspected unauthorized access).
• Effect of Termination: Upon termination, your access to the Platform and Content will be immediately revoked. The Platform may retain or delete your data in accordance with its Data Retention Policy.

Access & Use

License to Use the Platform

Subject to these Terms, the Platform grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Platform for authorized purposes.
• Share, and access Content in compliance with these Terms and the Copyright Policy.
• Notify NSIGNIS immediately at [email protected] of any unauthorized access or suspected compromise of your account

Permitted Uses

• Internal business, research, or educational purposes (as authorized).
• Lawful and ethical activities that comply with these Terms and applicable laws.

Prohibited Uses

You must not use the Platform for any of the following:

• Unlawful purposes (e.g., violating local, national, or international laws).
• Unauthorized access to Content or features (e.g., hacking, scraping, or bypassing security measures).
• Harassment, abuse, or defamation of any person or entity.
• Distribution of malicious software (e.g., viruses, spyware, or ransomware).
• Commercial exploitation without explicit permission.
• Uploading or sharing:
  1. Classified, sensitive, or export-controlled Content.
  2. Copyrighted material without proper authorization.
  3. Deceptive or synthetic media (e.g., deepfakes intended to mislead or harm).
  4. Obscene, pornographic, or illegal Content.
• Automated scraping or harvesting of Content or user data.

Compliance with Laws

• You are solely responsible for ensuring your use of the Platform complies with all applicable laws, including:
  1. Export control laws (e.g., U.S. EAR, UK ECA, EU Dual-Use Regulation).
  2. Data protection laws (e.g., GDPR, CCPA).
  3. Intellectual property laws (e.g., DMCA, Berne Convention).
  4. Industry-specific regulations (e.g., defense, intelligence, or research standards).

User-Generated Content

Ownership and Licensing

• You retain ownership of all Content you upload to the Platform.
• By uploading and/or sharing Content, you grant the Platform a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:
  1. Host, store, reproduce, and display the Content
  2. Unless specifically configured, publicly distribute the Content to viewers through our platform and/or Applications and/or our websites.
  3. Create derivative works (e.g., transcoding, formatting for delivery).
  4. Use the Content for promotional or operational purposes.

Representations and Warranties

You represent and warrant that:

• You own or have the necessary rights to upload and share the Content.
• The Content does not violate any third-party rights (e.g., copyright, trademark, privacy).
• The Content complies with all applicable laws and these Terms.
• The Content does not contain malicious code, viruses, or harmful components.
• Create derivative works (e.g., transcoding, formatting for delivery).

Prohibited Content

You must not upload and/or share Content that:

• Infringes any intellectual property rights.
• Violates privacy, publicity, or personality rights.
• Contains classified, sensitive, or export-controlled information.
• Is defamatory, obscene, or illegal.
• Misrepresents your identity or affiliation.

Platform Content and Services

Platform-Owned Content

• All original Content created by the Platform (e.g., interfaces, tools, branded materials) is owned by the Platformand protected by copyright and other applicable laws.
• You may not copy, modify, or distribute Platform-owned Content without explicit permission.

Third-Party Content and Services

• The Platform may integrate or link to Third-Party Services or Content.
• Disclaimer: The Platform does not endorse, control, or assume responsibility for Third-Party Content or Services.
• You use Third-Party Services at your own risk and are solely responsible for compliance with their terms and policies.

API and Developer Tools

• If you use the Platform’s APIs or developer tools, you must comply with the API Terms of Service (if separate).
• You must not:
  1. Reverse engineer or attempt to extract the Platform’s source code.
  2. Exceed rate limits or engage in abusive API usage.
  3. Use APIs to scrape or harvest Content or user data.

Termination

Termination by You

You may terminate your account and/or your association with our services at any time by:

• Submitting a written request to the Platform.
• Loss or revocation of required security clearance or access authorization
• Deleting your account through the Platform’s settings (if available).
• Conduct that NSIGNIS LTD determines poses a risk to security, operations, or other users

Termination by the platform

The Platform may suspend or terminate your account and/or content sharing at any time, with or without cause, including for:

• Violations of these Terms, the Copyright Policy, or applicable laws.
• Inactivity (e.g., no logins for 12+ months).
• Security risks or suspicious activity.
• Business reasons (e.g., discontinuation of services).

Effect of Termination

• Upon termination, your access to the Platform and Content will be revoked.
• The Platform may retain or delete your data in accordance with its Data Retention Policy.
• Surviving Provisions: "Disclaimers", "Effect of Termination", "Governing Law", and "Miscellaneous" will survive termination.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of EU, e.g., Bulgaria, without regard to its conflict of law principles.

Dispute Resolution

• Informal Resolution: The Platform encourages users to contact us informally to resolve disputes.
• Binding Arbitration:
  1. Any disputes arising from these Terms shall be resolved through binding arbitration in Sofia, Bulgaria, under the rules of the Bulgarian justice department, Sofia City Court.
  2. Class Action Waiver: You waive your right to participate in a class action lawsuit or class-wide arbitration.
• Security risks or suspicious activity.
• Business reasons (e.g., discontinuation of services).

Jurisdiction

• If arbitration is not permitted, disputes will be resolved in the courts of Sofia City.
• You consent to the exclusive jurisdiction of these courts.

Miscellaneous

Assignment

• The Platform may assign or transfer these Terms (or its rights and obligations hereunder) to any third party without notice.
• You may not assign or transfer these Terms without the Platform’s prior written consent.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

The Platform’s failure to enforce any right or provision of these Terms will not constitute a waiver of future enforcement.

Entire Agreement

These Terms, together with the Privacy Policy and Copyright and Content Policy, constitute the entire agreement between you and the Platform and supersede all prior agreements or understandings.

Force Majeure

The Platform will not be liable for failures or delays in performance due to causes beyond its reasonable control, including:

• Natural disasters, acts of God, or pandemics.
• Government actions, wars, or terrorism.
• Internet outages, cyberattacks, or third-party service failures.
